As of 2026, the energy landscape has shifted. Theron Energy operates at the forefront of the DATA Act (Decentralized Access to Technology Alternatives) and the CREU (Consumer Regulated Electric Utility) framework.

• Federal Exemption: Under the DATA Act of 2026, Theron “Islanded” systems are exempt from FERC and DOE oversight, provided they remain physically isolated from the public grid.
• The “Islanded” Mandate: To maintain CREU status, all Theron installations utilize proprietary “Break-Before-Make” hardware and firmware lockouts. This ensures zero back-feed to traditional utilities, shielding our partners and customers from retail energy monopolies.
• Industrial Bypass: We provide our dealers with the legal templates necessary to assert the “Industrial Self-Generation Bypass,” allowing your clients to generate private power regardless of local utility “exclusive right to serve” claims.

Legal Notice: This is not an offer to sell a franchise. Theron Energy operates as an OEM. All Dealerships are governed by the 23-item Franchise Disclosure Document (FDD) in compliance with FTC rules. No offers or sales will occur in registration states (CA, NY, IL, etc.) until state-level approval is finalized. Prospective dealers MUST REQUEST the FDD prior to any binding agreement.

DEALERSHIP TIERING & INVESTMENT

To achieve our goal of scaling to a global infrastructure presence, we offer two distinct pathways for partnership:

1. Authorized Tier-1 Stocking Dealer

• Investment: $1,500,000 (USA) | $3,000,000 (International)
• Purpose: These are the regional “Command Centers.” They hold local inventory, provide certified installation, and act as the exclusive warranty service hub for their territory.
• Protection: Limited to two (2) exclusive dealerships per U.S. State to prevent territory dilution and protect your 10-15% rebate margins.

2. National Retail Distribution Partner (Big-Box)

• Investment: $500 Registration Fee Per Location (plus initial display inventory).
• Target: National chains (e.g., Home Depot, Walmart, Costco).
• The Model (John Deere Framework): The retailer acts as the primary storefront and lead generator for the Theron brand.
• Service Synergy: All technical commissioning, “Islanded” certification, and lifetime OEM warranty labor are routed to the nearest Tier-1 Stocking Dealer. This ensures big-box volume with specialist-grade technical execution.

OPERATIONAL REQUIREMENTS & COMPLIANCE

1. Technical Certification: All installations must be performed by Theron-certified licensed electricians and verified by a third-party engineer to confirm off-grid isolation.
2. Inventory Velocity: Maintain an initial stocking order of 8 units (2 Home, 2 Commercial, 2 Industrial, 2 Mobile) and a minimum monthly volume of 3 units to retain territory exclusivity.
3. IP Protection: No person or company is allowed to copy, reverse engineer, or duplicate Theron equipment. International fees include a mandatory Legal Defense & IP Monitoring Fund to protect our technology in your specific territory.
4. Data Privacy: Dealers must comply with all regional data laws (CCPA in the USA / GDPR in Europe). Dealers act as the “Data Controller” for usage data collected by the system monitoring software.

GLOBAL EXPANSION: THE MASTER DEVELOPER

For international markets, Theron Energy operates under the Global Energy Liberalization Framework. In jurisdictions like Canada, Japan, and the UK, Theron Dealers bypass government-mandated grid access fees by operating as “Independent Power Enclaves.” Master Developers may apply for multi-region control by contact only.
