As of early 2026, regulations surrounding Consumer Regulated Electric Utilities (CREUs) in the USA are evolving, with specific legislative efforts aiming to exempt them from traditional utility regulations to facilitate “islanded” (off-grid) power systems. A CREU is a model intended for private, nonresidential, and off-grid electricity supply to industrial, commercial, or data-center users, often operating outside the jurisdiction of state public utility commissions (PUCs).
Key regulatory frameworks, including model policies and proposed legislation (such as the DATA Act), outline the following:
 
1. Federal Regulations
  • Exemption from FERC/DOE: Proposed legislation like the “Decentralized Access to Technology Alternatives Act of 2026” (DATA Act) aims to exempt CREUs from the Federal Power Act (FPA) and regulations from the Department of Energy (DOE), provided they remain self-contained and islanded from the grid.
  • Wholesale Sales Restriction: While CREUs are exempt from many federal regulations, they are generally prohibited from selling electricity to traditional public utilities, and cannot engage in selling to residential customers.
2. State and Local Regulations
  • Exemption from Public Utility Regulation: Under model legislation, such as the American Legislative Exchange Council (ALEC) template, CREUs are not considered public utilities and are therefore not subject to the extensive,, rate-of-return regulation that applies to traditional utilities.
  • Compliance with Local Laws: Despite deregulation from utility commissions, CREUs must comply with state and local regulations, including environmental protection, permitting laws, building codes, and fire codes.
  • Retail Rights: While federal law (DATA Act) is moving toward deregulation, State Service Territory Rights still exist. In some states, the local utility has an “exclusive right to serve.”
  • Right-of-Way Approvals: If a CREU constructs facilities that use public rights-of-way, they must still apply for approval, which is limited to issues of public safety, environmental protection, and storm-response plans.
  • Right to Bypass & Territory Exclusivity: While federal law supports decentralized power, some U.S. states grant local utilities an “exclusive right to serve.” Dealers must verify that their clients qualify for the “Industrial Self-Generation Bypass.” Theron Energy provides a legal template for dealers to submit to local municipalities, asserting the client’s right to generate private power under the DATA Act, effectively bypassing state-level retail monopolies for non-residential loads.
3. Key Operational Requirements
  • Mandatory Technical “Islanding” Standards To maintain status as a CREU under the DATA Act of 2026, the system must be physically and electronically “islanded.”
    Zero-Grid Interconnection: Systems must utilize a “Break-Before-Make” transfer switch or a physical air-gap to ensure no back-feed to the regulated utility grid occurs.
    Hardware Lockouts: Dealers are required to install proprietary Theron firmware that disables the unit if a grid-tie connection is detected, preventing accidental transition into a regulated utility status.
    Certification: Every installation must be certified by a Theron Energy-approved third-party engineer to verify off-grid isolation before the unit is commissioned.
  • Nonresidential Focus: CREUs are designed specifically to serve industrial, commercial, or data-center loads, rather than residential users.
4. Recent Legislative Activity
  • New Hampshire: Passed HB 672 in 2025, becoming the first state to authorize “off-grid electricity providers” that are not under the jurisdiction of the state PUC.
  • Ohio: Passed HB 15, which includes provisions for off-grid power clusters for data centers.
  • Oklahoma: Passed SB 480, allowing large industrial/commercial customers to build and operate “behind-the-meter” (on-site) systems, bypassing traditional utility regulations.
  • Utah: Passed SB 132, setting rules for large-load (100 MW+) customers to opt for fully off-grid systems.
In summary, the regulatory trend for CREU “dealerships” or providers is toward creating a new, “unregulated” class of utility, free from traditional bureaucratic, rate, and interconnection approvals, provided they remain isolated from the existing grid and serve only nonresidential clients.

THERON AUTHORIZED DEALERSHIP OPPORTUNITIES.

    • USA and International dealerships will receive a 10% rebate on all sold products. 
    • High-volume dealerships can receive up to 15% rebates on all sold products.
    • USA: Two dealerships per U.S. State only. The United States consists of 50 states and 14 territories.
    • All other countries by strict request only. See below. There are 195 widely recognized countries in the world
    • Typically 1 dealership per country/state/territory, unless
      1. large population or
      2. large surface area.
      On these exceptions, we will allow up to 3 dealership locations.

 

United States of America dealership regulations:


To start and maintain a Theron Energy Dealership business in the USA, you must have the following:

  1. Investment capital to start a Approved Dealership $1,500,000 USA
  2. Approved licensing to be a Theron Energy Dealership.
  3. All shipping costs will be borne by the dealership from the manufacturing plant locations.
  4. An approved business model including name, location, staff, corporate structure, and business liquidity.
  5. An approved building with a showroom to store and showcase all equipment.
  6. Approved and qualified staff to sell and administer and also install all equipment.
  7. Active fully operational online and marketing and sales tools etc. to sell equipment.
  8. Maintenance, Warranty, and Liability: The Dealer assumes sole responsibility for all costs associated with installation, routine maintenance, and warranty labor. While Theron Energy provides the replacement parts for manufacturer defects as per our limited warranty, all labor costs, travel expenses, and onsite troubleshooting expenses are the exclusive liability of the Dealer.
  9. Indemnification: The Dealer agrees to indemnify and hold Theron Energy LLC harmless against any and all claims, damages, or legal liabilities arising from faulty installation, improper maintenance, or local grid interference caused by the Dealer’s staff.
  10. Maintain ongoing orders to comply with the dealership license.
  11. Make payments as per invoicing (C.O.D, Bank Wire Transfer) on time.
  12. Maintain Dealership Requirements as listed below and uphold all terms and conditions always.

U.S.A DEALERSHIP REQUIREMENTS

To become a USA Dealership selling our products you must agree to and comply with the following stipulations that is now binding upon you thru Theron Energy LLC:

  1. By signing up and registering on this website of Theron Energy LLC, you agree that any and all names used by Theron Energy LLC is incorporated in this agreement; and that you are legally binding yourself as well as your company and any and all persons to this agreement and our terms and conditions.
  2. For purposes of this contract and agreement you agree that Theron Energy, Theron H2O, Theron Generators and/or any name found in our stationary and/or literature and/or correspondence and/or online presence or elsewhere is solely the property of Theron Technologies LLC and any and all names used by us that includes the name Theron is part of this company Theron Technologies LLC by and through our Trust namely THERON INTERNATIONAL FOUNDATION. 
  3. If a dealer accidentally connects a Theron system to the grid (even for backup), they lose their CREU status immediately and become subject to FERC and DOE oversight. No dealership will allow any of our products to be connected to the grid ever, not by the dealership, any contractors, or customers ever.
  4. There cannot be more than 2 dealerships per USA State/territory.
  5. There cannot be more than 2 dealerships per International Country. (Larger countries with bigger populations – special arrangements can be made. Contact us.)
  6. A Dealership is not allowed to sell outside your own geographically approved area of operation. If you were approved for a country, you may only sell in that country.
  7. A Dealership must be a licensed and approved legal company in your own country.
  8. An initial investment of $1,500,000.00 is required to become a USA-based dealership of Theron Energy.
  9. A Dealership must purchase a minimum of 8 generators to start as an approved dealership. Minimum 2 Home, 2 Commercial, 2 Industrial, and 2 Mobile Generators. (Special arrangements can be made if you as dealership, purchase ATMAG GENSETS)
  10. A Dealership order cannot double order the same unit on your initial order, within 30 days from opening as a new dealership.
  11. A Dealership must purchase a minimum of 3 generators per month, every month to remain an approved dealership. (Special arrangements can be made if you as dealership, purchase ATMAG GENSETS)
  12. Different incentive programs exist for Dealerships selling high volumes. (Contact our company staff.)
  13. A Dealership must provide the licensed professional service at all times to your customer(s).
  14. A Dealership must use only licensed electricians to install any and all generators.
  15. A Dealership must protect, defend and uphold the name and product and reputation of the Theron Energy brands.
  16. No persons or company or anyone is allowed to copy and/or reverse engineer and/or duplicate in any way shape or form any Theron Energy or Theron Energy equipment or generator(s) and product(s), now or ever. By viewing any of our content or products and/or signing up as a dealer and/or affiliate and/or registering on our site(s), you agree to this and will protect and defend any and all interests of Theron Energy LLC as well as our Terms and Conditions and Policies.
  17. Any and all marketing materials must be submitted and approved by Theron Energy LLC before being used by a Dealership.
  18. Strictly follow all Theron Energy guidelines, policies, and terms of conditions and rules and regulations at all times.
  19. Install, service, and/or maintain all products and services of Theron Energy.
  20. Protect and safeguard all products and services of Theron Energy for the benefit of Theron Energy exclusively.
  21. All Dealerships will receive a 10% commission rate per generator sold.
  22. Dealerships or any entity or person(s) are not allowed to alter or adjust any pricing of any product(s) as found on www.therongenerators.com at any time without written permission.
  23. No corporate or other discounts posted here or elsewhere apply to a new dealership.
  24. All initial order payments must be made via your company’s bank-certified check or electronic wire transfer.
  25. Once you register to become a dealership, all relevant dealership registration documents must be signed, notarized and dated by you and Theron Energy LLC. 
  26. All dealership approvals and the rights and/or privilege to become and/or remain a dealership is solely up to the discretion of Theron Energy LLC and will be reviewed on a monthly basis for compliance and participation.
  27. Dealership entry and/or participation is dependent on these and other requirements from Theron Energy and can change at any time without notification. Please check this website frequently to stay up to date.
  28. To start your approval process, please register for a business account by visiting www.theronenergy.com. Note, you must register for a DEALERSHIP account to start the approval process.
  29. Note: Currently all initial dealership orders may take approximately 30 up to 180 days to fill.
  30. Dealership approval and/or participation is solely at the discretion of Theron Energy LLC and dealerships agree to follow the Theron Energy Terms and Conditions on our website as well as marketing guidelines and sales and installation stipulations. Any violation is grounds for automatic termination and possible legal sanctions.
  31. Basic dealership remuneration is structured as 10% of the gross sales value of any and all generators.
  32. Dealerships with high volumes or sales staff incentives can reach a threshold of up to 15% of gross sales values above $1B annually.
  33. Data Privacy & Connectivity Compliance:

    • Because Theron Energy systems utilize smart-monitoring technology, Dealers must comply with all regional data privacy laws.
      USA (CCPA): Dealers must provide customers with a “Right to Know” regarding any energy usage data collected by the system.

    • International (GDPR): For all European and UK dealerships, the Dealer acts as the “Data Controller.” You must ensure that all machine-to-cloud data transmission complies with GDPR encryption standards. Theron Energy’s monitoring software is pre-configured for “Privacy by Design,” but the Dealer is responsible for local data-handling disclosures to the end-user.



INTERNATIONAL ENERGY LAWS & COMPLIANCE

Operating as a Theron Energy Dealer outside the USA requires navigation of the Global Energy Liberalization Framework.
European Union & UK: Dealers must operate as “Independent Power Enclaves.” Under REMIT and local deregulation, you may provide power to commercial entities, but you must remain “islanded” to avoid the heavy capital requirements of a National Retail Supplier License.
The “Islanded” Global Standard: In most jurisdictions (Canada, Japan, Australia), generating power for a private client on their own property is classified as “Self-Generation.” By maintaining an off-grid (Islanded) status, Theron Dealers bypass the need for government-mandated “Grid Access Agreements” and “Wholesale Market Participation” fees.
IP Protection: The $3,000,000 international fee includes a mandatory Legal Defense & IP Monitoring Fund to protect Theron’s ELF and Brushless DC technology within your specific territory.
Regulations governing the sale of energy dealerships—often structured as independent power producers (IPPs) or retail suppliers—outside the USA vary significantly by region, with a strong focus on market liberalization (deregulation) or, conversely, maintaining state-owned monopolies. While “Consumer Regulated Electric Utility” (CREU) is a specific, pending U.S. model for isolated, non-residential load, similar international structures are generally regulated under local retail competition laws, licensing requirements, and grid access codes.

Special Notes:
  • Disclosure Laws: Countries like France, Spain, and Australia have mandatory pre-contract disclosure laws similar to the US FDD. A “one-size-fits-all” agreement on a website like ours might be legally unenforceable in these jurisdictions without local law adjustments. Therefore, our new policy is if you reside in or/and wish to acquire a dealership from us, but your local laws are in direct conflict or worse, to a standard contract like this, you are prohibited and barred from applying for a dealership, or buying any products from THERON ENERGY.
  • Maintenance & Warranty Liability: Our list requires “qualified staff to install.” If you or your customer has a maintenance or warranty issue, any and all costs are yours as the dealer to be liable for. Should our product fail for any reason, the only liability we have is for you to pay for shipping costs and for THERON ENERGY, should you choose so, to replace the product with a replacement unit.
  • Data Privacy (GDPR/CCPA): Since these generators are likely “smart” or connected for monitoring, THERON ENERGY is collecting data from international users. We have included and are trying to comply with the GDPR/CCPA privacy rules in Europe and elsewhere regarding the energy data we collect. It is your responsibility to review our legal disclosures in the Privacy Policy posted on our website, and if found to be insufficient for your region or country, you are not allowed to use our website(s) or products or do any business with us, now or in the future.
 
1. Europe (EU and UK)
  • Retail Market Liberalization: Most European nations have fully deregulated retail markets, allowing independent suppliers (dealerships) to sell electricity to consumers.
  • Licensing and Compliance: Retailers must obtain licenses from national regulators (e.g., Ofgem in the UK). These licenses require adherence to consumer protection laws, data privacy, and sometimes minimum financial stability standards.
  • REMIT Compliance: The Regulation on Wholesale Energy Market Integrity and Transparency (REMIT) applies to all market participants, prohibiting insider trading and market manipulation.
  • Grid Access: Independent sellers must arrange for access to the distribution network through the Distribution System Operator (DSO), which is often separate from the supply entity.
2. Canada
  • Provincial Jurisdiction: Energy regulation is handled provincially.
  • Retailer Licensing: Provinces like Alberta and Ontario have deregulated retail markets where independent retailers (dealerships) can sell to consumers. These retailers must be licensed by provincial boards (e.g., Alberta Utilities Commission).

  3. All shipping costs will be borne by the dealership from the manufacturing plant locations.
  4. If a dealer accidentally connects a Theron system to the grid (even for backup), they lose their dealer status immediately and become subject to International Energy oversight. No dealership will allow any of our products to be connected to the grid ever, not by the dealership, any contractors, or customers ever.
  5. An approved business model including name, location, staff, corporate structure, and business liquidity.
  6. An approved building with a showroom to store and showcase all equipment.
  7. Approved, licensed, and qualified staff to sell, administer, and install all equipment.
  8. Active, fully operational online and marketing and sales tools, etc., to sell equipment.
  9. Approved, licensed, and reliable staff to install and maintain equipment ongoing.
  10. Maintain ongoing orders to comply with the dealership license.

FOREIGN DEALERSHIP REQUIREMENTS

To become a Foreign Dealership selling our products, you must agree to and comply with the following stipulations that are now binding upon you through Theron Energy LLC:

  1. By signing up and registering on this website of Theron Energy LLC, you agree that any and all names used by Theron Energy LLC are incorporated in this agreement; and that you are legally binding yourself as well as your company and any and all persons, to this agreement and our terms and conditions.
  2.   3. There cannot be more than 13 dealerships in Canada.

Continuation of agreement for foreign companies if outside the U.S.A.

  1. Must register on our website as a foreign licensed company.
  2. All current company documentation must be submitted for the validity of your company.
  3. A separate foreign company/owner/dealer agreement must be signed and notarized.
  4. New foreign dealerships must make purchases via Bank Wire EFT.
  5. New foreign dealerships must make generator purchases according to the foreign dealership agreement that is signed upon dealership formation, per Theron Energy. (The initial purchase volume includes all listed units.)
  6. Foreign Dealerships operate and are at the sole discretion of Theron Energy.
  7. An initial investment of $3,000,000.00 is required to become an International (outside the USA) dealership of Theron Energy. (due to possible product infringements/copyright issues)
  8. A Dealership must purchase a minimum of 8 generators to start as an approved dealership. Minimum 2 Home, 2 Commercial, 2 Industrial, and 2 Mobile Generators. 
  9. A Dealership order cannot double-order the same unit on your initial order, within 30 days from opening as a new dealership.
  10. A Dealership must purchase a minimum of 5 generators per month, every month, to remain an approved dealership.

  3. Get all Dealership papers signed, authorized, and notarized.
  4. Make the dealership validation payment in full.
  5. Select products from our catalog and place your Dealership’s first order.
